These Terms of Service ("Terms") govern your use of the EIMIO platform operated by EIMIO OÜ (registry code 16291654, VAT EE102557503, Pirita tee 26f-11, 12011 Tallinn, Estonia, info@eimio.eu) ("EIMIO", "we", "us").
By registering an account or using the EIMIO platform, you agree to these Terms. If you do not agree, do not use the service.
1. Service Description
EIMIO is a SaaS platform that connects to Merit Aktiva via API, reads General Ledger transaction data of your client companies, calculates billable work based on configurable tariff rules, generates billing reports, and creates draft invoices in Merit Aktiva. The platform is designed for use by accounting firms ("Accounting Bureaus") operating in Estonia and other jurisdictions where Merit Aktiva is used.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organisation to use EIMIO. By accepting these Terms, you represent that you meet these requirements.
3. Account Registration
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately at info@eimio.eu if you suspect unauthorised access to your account.
- Each account may only be used by one accounting firm.
4. Subscription Plans and Payment
4.1 Plans
EIMIO offers subscription plans (Starter, Professional, Business, Enterprise) with pricing as published on our website. All prices are in EUR and exclude VAT unless stated otherwise.
4.2 Free Trial
New accounts receive a 30-day free trial of the Professional plan. No credit card is required during the trial. At the end of the trial, you must select a paid plan or the account will be suspended.
4.3 Billing
Subscriptions are billed monthly or annually in advance. Annual plans are offered at a discount. Invoices are issued via Merit Aktiva to the billing address you provide.
4.4 Non-payment
If payment is not received within 14 days of the invoice due date, we reserve the right to suspend or terminate your account.
4.5 Refunds
Monthly subscriptions are non-refundable. Annual subscriptions may be pro-rated upon cancellation at our discretion.
5. Merit Aktiva Integration
EIMIO accesses Merit Aktiva APIs using credentials you provide. You represent that you have the right to access the Merit Aktiva databases of your client companies. EIMIO is not affiliated with Merit Tarkvara OÜ. Changes to the Merit Aktiva API may affect EIMIO functionality; we will use reasonable efforts to maintain compatibility.
6. Acceptable Use
You agree not to:
- Use EIMIO for any unlawful purpose
- Attempt to gain unauthorised access to any part of the platform
- Reverse-engineer, decompile, or disassemble the software
- Resell or sublicense access to the platform
- Upload malicious code or interfere with platform operation
- Use the platform to process data beyond the purposes described in these Terms
7. Data and Privacy
Processing of personal data is governed by our Privacy Policy. You are the data controller for your client data; EIMIO acts as a data processor. We will enter into a Data Processing Agreement (DPA) upon request.
8. Intellectual Property
EIMIO and all associated software, designs, and content are owned by EIMIO OÜ. These Terms do not grant you any intellectual property rights. You retain ownership of your own data and reports generated by the platform.
9. Warranties and Disclaimer
EIMIO is provided "as is". We do not warrant that the platform will be error-free, uninterrupted, or that the results of using it will meet all your specific requirements. We recommend reviewing all draft invoices before sending.
10. Limitation of Liability
To the maximum extent permitted by law, EIMIO OÜ shall not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to EIMIO in the three months preceding the claim.
11. Termination
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We reserve the right to terminate accounts that violate these Terms with immediate effect. Upon termination, you may export your data for 30 days after which it will be deleted.
12. Changes to These Terms
We may update these Terms. We will give at least 30 days' notice of material changes via email. Continued use after the notice period constitutes acceptance of the updated Terms.
13. Governing Law and Disputes
These Terms are governed by Estonian law. Any disputes shall be resolved by the Harju County Court (Harju Maakohus) as the court of first instance, unless mandatory consumer protection law in your jurisdiction requires otherwise.
